These Terms of Service ("Terms") govern your access to and use of Clockly ("Clockly", "we", "us", or "our"), an attendance and time-tracking application operated by Nakamura Tech Solutions, including our mobile apps and related services (the "Service"). By downloading, accessing, or using Clockly, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 16 years old and able to form a binding contract to use Clockly. The Service is intended for use by employees and administrators of an employer or organization ("Company") that administers a Clockly workspace. If you use Clockly on behalf of a Company, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that Company.
Clockly is typically provided to you through your Company, which administers your workspace, manages roles and invitations, and decides which features (such as location check-in or selfie verification) are enabled. Your Company's administrators can view the attendance, location, and selfie records associated with their workspace. Your use of Clockly may also be subject to your Company's own policies, and disputes about how your employer uses the Service should be directed to your employer.
You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us or your Company administrator promptly if you suspect unauthorized use.
You agree not to:
Clockly records clock-in and clock-out events and, where your Company enables them, location and selfie data captured at the moment of a clock event. You are responsible for submitting accurate records. Attendance data, corrections, and approvals are made available to your Company, which is responsible for how that data is used for payroll, scheduling, or employment decisions.
Some features require a paid subscription. Subscriptions and in-app purchases are sold and processed through the Apple App Store or Google Play and managed via RevenueCat, subject to the applicable store's terms. Payment is charged to your store account, and subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage or cancel a subscription in your Apple or Google account settings. Except where required by law or store policy, payments are non-refundable, and refund requests are handled according to the applicable store's rules. Nothing in these Terms limits any rights you may have as a consumer under the Consumer Act of the Philippines (Republic Act No. 7394) or other mandatory consumer-protection law.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect information. By using Clockly you acknowledge the data practices described there.
The Service, including its software, design, logos, and content (excluding data you or your Company submit), is owned by Nakamura Tech Solutions and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the data you submit, and you grant us the rights necessary to host and process that data to provide the Service.
Clockly relies on third-party providers including Supabase, Google Firebase, Google Maps, RevenueCat, Apple, and Google. Your use of features that depend on these providers may be subject to their terms, and we are not responsible for the practices or availability of third-party services.
We may modify, suspend, or discontinue all or part of the Service at any time, and we may update, add, or remove features. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation.
We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Your Company may also disable or remove your access to its workspace. You may stop using the Service at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will continue to apply.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that attendance data will be free of inaccuracies.
To the maximum extent permitted by law, Nakamura Tech Solutions and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or USD 100.
You agree to indemnify and hold harmless Nakamura Tech Solutions and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms or applicable law.
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Philippines, except where mandatory local consumer law provides otherwise.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the app. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
If you have questions about these Terms, contact Nakamura Tech Solutions at support@nakamuratechsolutions.com.
